These Terms and Conditions (“Terms”) govern your access to and use of the website www.newbyteas.in (the “Website”), and your purchase of products made available through the Website.
Please read the Terms carefully before using the Website or placing an order. By accessing, browsing or using the Website, or by placing an order for any product through the Website, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
Where you place an order for products through the Website, these Terms, together with the applicable order confirmation issued by Newby, shall constitute the Agreement between you and Newby in relation to that order.
If you do not agree to these Terms, you should not use the Website or place an order through the Website.

The Website is operated by Newby India Private Limited, CIN U55209DL2007PTC167789 (“Newby”, “we”, “us” or “our”).

The Website to which these Terms apply is www.newbyteas.in, including all pages, sections, URLs and other portions of the Website operated under that domain.
2. DEFINITIONS
In these Terms, unless the context otherwise requires:
“Account” means the customer account created on the Website, where applicable, for placing and managing orders.
“Carrier” means any courier, logistics provider, or any other delivery service provider engaged by us to transport Products to the Customer.
“Customer”, “you”, “your”, or “yours” means any person accessing the Website and, where applicable, any person placing an order for Products through the Website.
“Contract” means the agreement between us and you for the purchase and sale of Products, comprising these Terms and the applicable order confirmation.
“Order” means an order placed by a Customer through the Website for the purchase of Products.
“Personal Information” means information relating to an identified or identifiable individual provided by a Customer or collected in connection with the Customer’s use of the Website.
“Products” means the products offered for sale through the Website.
“Website Content” means all text, information, product descriptions, photographs, images, graphics, logos, designs, trademarks, software, data and other material made available on or through the Website.
3. APPLICATION OF THESE TERMS
These Terms apply to every person who accesses or uses the Website, who creates or uses an Account, who places or attempts to place an Order through the Website, every Contract entered into between Newby and a Customer for the purchase of Products through the Website.
These Terms should be read together with the other policies made available on the Website, including the Payments, Delivery & Returns Policy, Privacy Policy and the Cookie Policy. Where a specific policy provides operational information relating to a particular process, that policy shall be read together with these Terms.
4. ACCESS AND USE OF THE WEBSITE
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:
· for any unlawful, fraudulent, or unauthorised purpose;
· to obtain or attempt to obtain unauthorised access to the Website;
· to interfere with the operation or security of the Website;
· to introduce malicious code, viruses, worms, or other harmful material;
· to attempt to gain access to any server, computer, database, or other systems connected to the Website;
· to reproduce, modify, distribute, or commercially elaborate Website content; or
· in any manner that may damage, disable or impair the Website.
We reserve the right to suspend or restrict access to the Website where we reasonably consider that a Customer has breached these Terms or has used the Website in an unauthorised or unlawful manner.
5. PRODUCTS AND PRODUCT INFORMATION
Newby endeavours to ensure that descriptions, specifications, photographs and other information relating to Products displayed on the Website are accurate and up to date.
Product images are provided for illustrative purposes. Variations in colour, appearance or packaging may occur due to photography, lighting, screen settings or changes in packaging and shall not, by themselves, constitute a defect.
Product availability may change from time to time. The display of a Product on the Website does not guarantee its availability at the time an Order is processed.
Newby currently accepts bulk and corporate orders, and there are no minimum or maximum order value or quantity restrictions applicable to orders placed through the Website.
6. YOUR ACCOUNT
Where an Account is made by you, you shall be responsible for providing accurate and complete information and for maintaining the confidentiality of your login credentials.
You are responsible for all activity undertaken through your Account. If you become aware of any unauthorised access to your Account, you must notify Newby promptly.
Newby may suspend or terminate an Account where it is used in breach of these Terms or for an unlawful or unauthorised purpose.
7. ORDERS
Customers may browse Products available on the Website, add selected Products to their shopping cart and proceed to checkout by providing the required delivery, contact and payment information. Before submitting an Order, Customers should carefully review the Products selected, quantities, delivery details and total amount payable.
By submitting an Order through the Website, the Customer confirms that the information provided in connection with the Order is accurate and complete and that the Customer wishes to purchase the selected Products. Following successful payment, Newby will send an order confirmation acknowledging receipt of the Order. The order confirmation will contain relevant details of the Products ordered, the amount paid and other applicable order information. Newby will process accepted Orders in accordance with these Terms and the applicable Payments, Delivery & Returns Policy.
Newby may be unable to process an Order where a Product is unavailable, there is an error in the price or Product information, the information provided by the Customer is incomplete or inaccurate, or the transaction appears fraudulent or unauthorised. Where Newby is unable to fulfil an Order for which payment has already been received, Newby will inform the Customer and arrange an appropriate refund.
8. PRICES AND PAYMENT
All prices displayed on the Website are inclusive of applicable GST. A delivery charge of INR 100/- applies to Orders below INR 500/-. Applicable delivery charges will be displayed at checkout before the Order is placed. Payment may currently be made through Paytm Wallet, Net Banking, and Debit/Credit cards including Visa, Mastercard, American Express and Maestro. Payment processing may be facilitated through Razorpay or another designated payment service provider.
Payment must be successfully completed before an Order is processed for dispatch. Newby may correct any inadvertent pricing or Product information errors. Where such an error affects an Order that has not yet been accepted, Newby may contact the Customer before accepting the Order.
9. DISCOUNTS AND PROMOTIONAL OFFERS
Newby may offer discounts, coupons, and promotional offers from time to time. Unless expressly stated otherwise, such offers:
· apply to only eligible products;
· cannot be applied towards shipping charges;
· permit only one discount or promotional offer per Order; and
· may be subject to additional eligibility requirements, validity periods, and exclusions.
Newby reserves the right to modify or withdraw these promotional offers, discounts, and coupons from time to time.
10. DELIVERY
Newby offers delivery across India.
Orders are generally processed for dispatch within 2 working days from receipt of successful payment and are typically delivered within 4–5 working days from the date of successful payment.
Delivery timelines are indicative and may vary depending on the delivery location, courier availability and connectivity, remote locations, weather conditions, logistical constraints and other circumstances beyond Newby’s reasonable control.
Once an Order has been dispatched, tracking information will be shared with the Customer by email, where applicable. Customers are responsible for providing an accurate and complete delivery address and contact information. Where delivery cannot be completed because of an incorrect address, customer unavailability or inability to contact the Customer, the courier may attempt redelivery. Where a shipment is delayed, lost or cannot be delivered, Newby will coordinate with the relevant courier or logistics provider to investigate the matter and work towards an appropriate resolution.
11. CANCELLATION
Customers may request cancellation of an Order before it has been dispatched. Where an Order is successfully cancelled before dispatch, the amount paid, including the applicable delivery charges, will be refunded.
Once an Order has been dispatched, cancellation may no longer be possible and the Customer may, where applicable, refer to the Returns process set out under the Payments, Delivery, and Returns Policy of Newby.
Orders for Products made or altered to a Customer’s own specifications cannot be cancelled.
12. RETURNS, REPLACEMENTS, AND REFUNDS
Returns, replacements, and refunds are governed by Newby’s Payments, Delivery & Returns Policy, which forms part of these Terms. Given the nature of certain Products, particularly consumable Products such as tea, returns are generally not accepted unless the Product is damaged, defective, spurious or incorrect.
A Customer receiving a damaged, defective or incorrect Product must notify Newby at sales-support@newbyindia.com within 24 hours of delivery. The Customer may be required to provide order details, photographs of the Product and packaging and an unboxing video. All returns require prior authorisation from Newby.
Where an issue is confirmed to be attributable to Newby, Newby will bear the applicable return and replacement shipping costs and arrange an appropriate replacement or other resolution. Where a refund is applicable, it will ordinarily be credited to the original payment method. Approved refunds will be processed within 30 working days following receipt of the returned Product and completion of the applicable quality check. The detailed process is set out in the Payments, Delivery & Returns Policy.
13. INTELLECTUAL PROPERTY
All intellectual property rights in the Website and Website Content, including trademarks, logos, photographs, product descriptions, graphics, designs, software and other materials, are owned by or licensed to Newby or the relevant rights holder.
Nothing in these Terms transfers any intellectual property rights to you. You may access and use the Website for personal and lawful purposes only. You may not reproduce, modify, distribute, commercially exploit or otherwise use Website Content without Newby’s prior written consent. Newby’s trademarks, logos, product photographs and other proprietary materials may not be used for commercial purposes without prior written permission.
14. CUSTOMER REPRESENTATIONS
By using the Website or placing an Order, you represent and warrant that:
· the information provided by you is accurate and complete;
· you are authorised to use the payment method used for the Order;
· you will use the Website only for lawful purposes;
· you will comply with these Terms and applicable laws; and
· your use of the Website will not infringe the rights of Newby or any third party.
15. INDEMNITY
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Newby, its directors, officers, employees, agents, and representatives against claims, losses, liabilities, damages, costs, and expenses arising out of or in connection with:
· your breach of these Terms;
· your misuse of the Website;
· your violation of the applicable law;
· your infringement of the rights of Newby; or
· any authorised or unlawful material submitted or made available by you through the Website.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Newby shall not be liable for indirect, incidental, special, consequential or punitive loss or damage, including loss of profits, revenue, business, goodwill or data, arising out of or in connection with your use of the Website or purchase of Products.
To the maximum extent permitted by applicable law, Newby’s aggregate liability arising out of or in connection with a particular Order shall not exceed the amount actually paid by the Customer for the Products giving rise to the relevant claim.
17. FORCE MAJEURE
Newby shall not be liable for any delay or failure in performing its obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, fire, floods, epidemics, war, terrorism, civil unrest, strikes, governmental restrictions, telecommunications failures, transportation disruptions, courier disruptions or other similar events.
Where such circumstances materially affect the fulfilment of an Order, Newby will endeavour to inform the Customer and work towards an appropriate resolution.
18. CHANGES TO THESE TERMS
These Terms, the applicable Order Confirmation and the policies expressly incorporated herein constitute the entire agreement between Newby and the Customer in relation to the relevant Order.
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.
A failure or delay by Newby in exercising any right or remedy shall not constitute a waiver of that right or remedy.
Newby may update or revise these Terms from time to time. The updated Terms will be posted on the Website. Your continued use of the Website following the posting of the updated Terms will constitute your acceptance of the revised Terms, to the extent permitted by applicable law.
19. GOVERNING LAW AND JURISDICTION
These Terms and any Contract between Newby and the Customer shall be governed by and construed in accordance with the laws of India.
Subject to any mandatory rights or remedies available to the Customer under applicable law, the courts at New Delhi, India shall have jurisdiction over disputes arising out of or in connection with these Terms or any Contract.
